Responsibilities

Under the supervision of the Office of the General Counsel and working closely with the Company’s most senior executives and attorneys, this position supports a variety of law related tasks for a sophisticated publicly traded insurance holding company with domestic and international operations, including performing factual investigations, legal and documentary research, drafting and revising legal documents and correspondence, continuously updating skills in relevant legal technology (including artificial intelligence), maintaining and updating files and records, monitoring corporate and regulatory filing deadlines and preparing related filings, assisting with transactional and litigation processes and materials.

 

• Assist in drafting, reviewing and filing regulatory documents, domestically and internationally, including SEC and NYSE filings, state insurance department filings, and other international, federal, state and local law filings, with accuracy and attention to detail
• Stay up to date with Company technology and demonstrate dexterity in learning and using programs, software and databases relevant to assisting and enhancing the legal department’s operations, including artificial intelligence, board management platforms (e.g., Diligent, Board Vantage), ebilling systems, document management software, etc.
• Assist with various corporate governance and entity management matters, domestically and internationally, including formations, qualifications, acquisitions, amendments, dissolutions, management changes, and maintenance of organizational documents and minute books
• Prepare and maintain calendar of deliverables for filings, corporate governance, and insurance matters; requires understanding of work product and process for each workstream in order to ensure the legal department stays on task
• Assist in conducting and analyzing factual, legal and regulatory investigations and research on complex, sensitive matters
• Respond to requests for information and work with regulators, outside auditors and other third parties
• Assist in drafting and reviewing resolutions, correspondence and memoranda with accuracy and attention to detail
• Assist in preparing and reviewing presentation materials for various Company activities, including management, board, regulatory and shareholder meetings with accuracy and attention to detail
• Establish effective working relationships with all levels of the organization
• Assist as needed on special projects and other matters related to the Office of the General Counsel

Qualifications

• Ability to work independently with minimal supervision, and proficiently as part of a collaborative team
• Ability to effectively multitask and prioritize to meet simultaneous deadlines
• Strong project management and organizational skills with extreme attention to detail
• Poise and maturity to work directly with senior executives inside and outside the Company
• Ability to maintain a high-level of professionalism and strict confidentiality, as appropriate
• Excellent verbal and written communication and interpersonal skills
• Ability to interpret and understand legal documents
• Ability to maintain an enthusiastic and positive attitude in a fast-paced environment
• Ability to effectively conduct electronic database research, including LexisNexis, Westlaw, and/or NILS
• Proficient in Microsoft Office Suite, including Word, Excel, PowerPoint and Teams, and ability to explore and quickly learn other technology programs

 

Education Requirement

 

• Bachelor’s Degree
• Minimum of 10 years experience either working at a public company or at a law firm supporting public companies. Insurance industry experience and ABA Approved Paralegal Certificate preferred
